Zune HD 32 New out of the box - will not sync

I have tried every combination of button push, button hold, screen swipe and various USB ports on 2-laptops, brand new HD displays "connected" on the unit screen but Zune software states "your device wasn't updated" and Error Code C00D133C (80190194). I've removed and refreshed the Zune software on the Dell, windows t Professional laptop, exchanged Zune cables, read multiple remedies on-line with no results. Any honest help would be appreciated.
